Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Flowtivity ("Company", "we", "us", or "our") concerning your access to and use of the flowtivity.ai website and any related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services.

Description of Services

Flowtivity provides AI education, automation consulting, and workflow optimisation services for businesses. Our Services include but are not limited to:

AI education workshops and training
Custom workflow automation design and implementation
AI agent development and deployment
Consulting and advisory services
Access to educational resources and tools

User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. You agree not to disclose your password to any third party and to notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.

Intellectual Property

The Services and their original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Flowtivity and its licensors. The Services are protected by copyright, trademark, and other laws.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Flowtivity.

User Content

Our Services may allow you to post, link, store, share, and otherwise make available certain information, text, graphics, or other material ("User Content"). You are responsible for the User Content that you post, including its legality, reliability, and appropriateness.

By posting User Content, you grant us the right to use, modify, perform, display, reproduce, and distribute such content on and through the Services. You retain all rights to your User Content, and you are responsible for protecting those rights.

Prohibited Uses

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

Professional Services

For consulting, automation, and development services, separate service agreements will govern the specific terms, deliverables, timelines, and payment terms. These Terms provide the general framework under which such services are provided.

All professional services are provided on an "as is" basis unless otherwise specified in a separate agreement. We will make reasonable efforts to meet agreed-upon deliverables and timelines.

Payment Terms

For paid services, payment terms will be specified in individual service agreements or invoices. Unless otherwise agreed:

Payment is due within 14 days of invoice date
All fees are exclusive of applicable taxes
Late payments may incur interest at a rate of 2% per month
We reserve the right to suspend services for overdue accounts

Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, and hereby disclaim and negate all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property.

We do not warrant that the Services will function uninterrupted, secure, or available at any particular time or location, or that any errors or defects will be corrected.

Limitation of Liability

In no event shall Flowtivity, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of, or inability to access or use, the Services
Any conduct or content of any third party on the Services
Any content obtained from the Services
Unauthorised access, use, or alteration of your transmissions or content

Indemnification

You agree to defend, indemnify, and hold harmless Flowtivity and its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Services.

Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will cease immediately. If you wish to terminate your account, you may simply discontinue using the Services or contact us to close your account.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.

Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.
